Pricing and Fees Policy

To help Tounca run smoothly and to cover the costs of the products and services we provide as well as to constantly improve them and provide customer support, we have to charge some service fees (“Fee”) and sometimes calculate contingency plan (“Contingency Plan”). At Tounca we believe in providing you with easy, flexible payment options at low rates and being fully transparent about it. This Pricing and Fees Policy (“Pricing and Fees Policy”) are a binding legal agreement between you and Tounca conducted through or in connection with the Tounca Marketplace Platform. When this Pricing and Fees Policy mention “Tounca”, “we,” “us,” or “our,” it refers to the Tounca LLC you are contracting based on Engagement and Payment Terms (“Payment Terms”) and Terms and Conditions (“Terms”), together with all other related terms and policies. If you see an undefined term in this Policy, it has the same definition as in the Terms. This policy applies to all users of Tounca Marketplace Platform anywhere in the world, including users of Tounca’s websites, features, future apps, or other services.

In standard business process we do not charge clients some fee for our services, and we charge fee only to our Expert(s) for finding projects and providing the tools for better handling with the process of engagement. We can eventually add Contingency Budget for engaging Experts and this percentage depends on Expert’s service history, type of engagement, and other relevant information.

The entire Fee is deducted from the Expert’s payout, and except Contingency Budget no Tounca’s Fee is paid by Client. Procedure of payment is described in Payment Terms and this policy will cover only topics related with prices and/or fees. That means for everything not covered with this Policy and related with the payment process, it is covered in Payment Terms.

Tounca will process each transaction in the currency you select via the Tounca Marketplace Platform, but currently only USD is available as an option on the Tounca Marketplace Platform. Note that if Tounca’s location is different than the country of your Payment Method, or your selected currency is different than your Payment Method's billing currency, your payment may be processed outside of your country of residence. As a result, certain fees may apply, and the amount listed on your card statement may be different from the amount shown at checkout. This kind of eventually fees are not Tounca’s fees and they are treated as a third-party fees between you and your bank or other payment provider. Please contact your bank, credit card company, or other payment provider if you have any questions about these fees or the applicable exchange rate.

1. Clients

Clients don’t pay any additional fee for cooperating with Us based on Payment Terms. Clients have to pay only contracted value regarding with the payment schedule, Payment Terms, and Security Deposit Policy (“Deposit Policy”). The contracted value is composed of Experts expenses (based on Expert’s regular offered price) and eventually of contingency budget (explained in the Contingency Plan section below).

Client may pay fee only in a cases related with the Cancellation and Refund Policy and in a value explained in the Cancellation and Refund Policy document.

2. Experts

You authorize Tounca to pay you any amount you agreed using Payment Methods you added into your account in Tounca Marketplace Platform. If you allowed a third party to use your Tounca account or to change your data there, you are responsible for potential wrong bank account.

2.1 Fees’ Percentages and Conditions

2.1.1 Individuals

We charge you as an Individual Expert a fee for (i) finding projects or other engagements, (ii) providing project management capabilities on the project, (iii) providing the other tools for better handling with the process of engagement, and (iv) keeping the infrastructure active. Fee percentage depends on Expert’s service history, and other relevant information (number of engagements[1] and average grade for your engagement).

2.1.2 Companies

We charge you as a Company Expert a fee for (i) finding projects or other engagements, (ii) providing tools for better handling with the process of engagement and projects, and (iii) keeping the infrastructure active. Fee percentage depends on Expert’s service history, and other relevant information (number of engagements[4] and average grade for your engagement).

2.1.3 Virtual Company (only applicable for Individuals)

These fees are related only exclusively with your engagement through the model of Virtual Company, in details disclosed in Virtual Company Policy. For all other engagements, your services will be treated as a standard services and fees will be as disclosed in the Section 2.1.1 above. All engagements you have provided through the Virtual Company model will not be taken in consideration aa regular engagement for getting better status for other services. These engagements are absolutely independent from all other services.

2.2 Additional Fees

Tounca may additionally reduce your payment if you late with your service engagement delivering. These fees are not related with fees disclosed in the section above and details about this fees are described in the Section 3.5 of Payment Terms. You can also be exposed for the cancellation fees and these fees are not related with fees disclosed in the section above; details about these fees are described in the Cancellation and Refund Policy.

3. Licenses

Client may buy or subscribe license for some of the business software (“License”). Purchasing the License may be part of the project implementation or an independent requirement. Depending on Client’s request, type of contract or subcontract, relationship with the software vendor, and other reasons, Client may purchase or subscribe License (i) directly from Tounca, (ii) indirectly from Tounca via one of the Tounca’s Experts if the Expert is a Company, or (iii) outside of Tounca network.

3.1 Purchasing from Tounca

If Tounca has partnership status with the software vendor for reselling or subscribing their licenses, and you agree with that, Tounca may order licenses directly from the software vendor. As prices and discounts policies vary from vendor to vendor, Tounca cannot guarantee that you can get discount for the License, but We will do the best what we can to provide the best conditions on the market for you as our Client. You are obliged to pay full amount for the License before Tounca order it from the software vendor.

3.2 Purchasing from Expert Company

You may decide or been offered to purchase or subscribe License from one of our Expert Companies, but only if the are registered as an official partner of the software vendor for reselling or subscribing their licenses. In this case Tounca will provide the same conditions our Expert Company offers. You are obliged to pay full amount of the License value as the Security Deposit before Expert Company order the License. After that moment you can ask for refund only if the Expert Company didn’t deliver License in a due date. After Expert Company delivers License, Tounca will pay Expert with Client’s Security Deposit, reducing this amount for eventually fees.

3.3 Purchasing outside of Tounca Network

You may order license directly from software vendor if you want this and it is allowed, or you may have license from previous business relationship. In this case Tounca will not be involved in the process of ordering or subscribing Licenses for you.

4. Contingency Plan

This section establishes the Contingency Budget Planning for the projects agreed with Tounca. This sections defines the Tounca’s overall contingency objectives and establishes the organizational framework and responsibilities for system contingency planning.

Tounca may calculate some specific amount as a contingency budget to ensure business continuity and to prevent negative events on the project. Contingency budget can be calculated only in the case of project engagement, and it cannot be used for other services engagement. Tounca may use accumulated amounts from contingency budgets from different projects to ensure continuance in the projects of implementation of business solutions. Tounca has internal procedures for preventive measures, recovery strategies, and technical considerations in the event of a disruption.

Contingency Budget for a Project can be calculated up to 15% on a top of your price as an Expert if you are an Individual and up to 5% on a top of your price if you are a Company. Percentage depends on your service and quality history, type of engagement, and other relevant information in sole discretion of Tounca.

5. General Terms

5.1 Authorization

You authorize Tounca to collect all fees disclosed in this policy from you (i) by keeping the amount from Client’s Security Deposit, or (ii) by withholding the amount from your future Payout, or (iii) by collecting the amount on other ways disclosed in the Section 5.3 of Payment Terms.

5.2 Refunds

If Tounca didn’t calculate your fees properly, you may appeal and if you are right. Tounca will make new calculation and refund you according with rules disclosed in the Section 5.5 of Payment Terms.

5.3 False Information

If you provide false information related with your engagements through Virtual Company or if your services are prohibited by the low in the United States or in countries of the Expert or Client residency, you breached our Terms and Policies and Tounca may calculate 100% fees for this engagements. In this situation, your account will be immediately suspended.

5.4 VAT charges on service fees

Depending on the laws of the jurisdiction involved, VAT may be charged on top of the host and guest service fee. The service fee will include these VAT charges when applicable.

5.5 Policy Modifying

Tounca may modify the Pricing and Fees Policy and modify existing or introduce new Fees from time to time. Tounca will provide notice to Users of any changes to the Pricing and Fees Policy unless such changes do not materially increase the Users’ contractual obligations or decrease the Users’ rights under this Pricing and Fees Policy. In a case of changing Fees or introducing new Fees, it will not have any impact on already signed agreements with the Client(s) and with the Expert(s). New Fees will be applicable only to the new agreements.

 

[1] Number of engagements in the table below is calculated in a period of three years and engagement cannot be less than 5 days (or 40 hours). Engagements from the Virtual Company will not be calculated as a regular engagements.

[2] After this status is officially confirmed.

[3] Only for the projects related with the product you are awarded or holding special status. For all other products, your services will be treated as a standard service.

[4] Number of engagements in the table below is calculated in a period of three years and engagement cannot be less than 10 days (or 80 hours).

[5] Only invoicing means you provided completely process of finding customer and delivering service and you expect from us only to deliver an invoice based on your instructions and to provide payment. No other engagement for Tounca required.

[6] It means you found a customer and deliver all service without our engagement, but with the using of Tounca Project Management tools. Besides providing access to the Project Management tools, we will make an invoice based on your instructions and provide payment. No other engagement for Tounca required.

[7] Only for selling solutions we have published on Tounca Marketplace Platform and/or on some other marketplace platforms (Microsoft’s AppSource, Salesforce’s AppExchange, and similar) using our support and for services exclusively related with implementation of these solutions. Accepting to pay this fee, you will not be charged for our support in a process of publishing solutions or validation from our side.
